Henry counsels businesses, professional practice groups and non-profit organizations.  He represents clients in acquisitions, financing, restructuring, contracts and licensing, employment and compensation matters, agency representation and succession planning. 

Upon graduation from law school, Henry practiced for 10 years with the corporate and securities group of a large Providence firm.  In addition to his nearly 30 years working as a business lawyer with both financially successful and struggling companies, Henry was appointed Chief Executive Officer of a manufacturing client during a hiatus from practice.  While there, he gained valuable operating and managerial experience which he utilizes in his client work.  He is highly regarded by clients for being able to tap his business skills and contacts to bring fresh collaborative approaches to problems and opportunities.Henry has also stepped in as interim CEO turning around a number of distressed businesses.

REPRESENTATIVE TRANSACTIONS:

·Served as interim CEO of financially-troubled family service business; executed succession plan resulting in successful refinancing with new lender

·$1.5M capital raise, contract and licensing work for medical software concern

·Successfully developed and implemented plan to restructure and refinance $100M family-owned distributor

·Represented successful foodservice retailer and distributor in acquisition of bank-owned real estate and $1.5M financing for expansion

·Represented northeast-based distributor in $3.9M acquisition for expansion to mid-Atlantic region

·Designed and implemented succession plan for medical practice to attract new partners

·Represented non-profit service provider in lengthy contract negotiations with the Rhode Island Department of Education
